Notwithstanding any language in any agreement or communication to the contrary, no payout shall be owed to Partner for each user’s first applicable reservation (i.e. reservation for which Partner would have otherwise been paid) attended per Partner venue, as part of such user’s Trial or promotional plan, except in connection with a spa or salon service provided by one practitioner to one user at a business that does not offer a first free visit to its direct customers. For these purposes, “Trial” means a user’s first applicable ClassPass cycle after joining or restarting on ClassPass.
ClassPass’s rights hereunder shall renew for each user 1 year after the user’s last reservation attended per Partner venue.
Nothing herein shall limit ClassPass’s rights to implement any program or policy in whole or part to which Partner has consented or consents (via the partner portal or otherwise), and Partner’s consent to any such program shall not limit ClassPass’s rights to implement the ClassPass policy described above in whole or part or ClassPass’s rights hereunder. ClassPass Terms apply.
ClassPass shall have the right to apply the prior version of the First Class Free Terms until ClassPass transitions Partner’s participation to the version above. The prior version is:
“Notwithstanding any language to the contrary, no payout shall be owed to Partner for each user’s first applicable reservation (i.e. reservation for which Partner would have otherwise been paid) attended per Partner venue as part of such user’s Trial (“First Trial Reservation”). For these purposes, “Trial” means a user’s first applicable ClassPass membership cycle after joining or restarting on ClassPass. A user who has terminated their Trial or subsequent ClassPass membership cycle and has rejoined ClassPass after a First Trial Reservation at a given Partner Venue will be deemed a new user for the purpose of First Trial Reservations (i.e. will become eligible for another First Trial Reservation) at such Partner venue (1) if the user starts a Trial at least 180 days after terminating; and (2) if such user started a subsequent ClassPass membership cycle after the applicable Trial, at least 365 days from the start date of such subsequent membership cycle. Nothing herein shall limit ClassPass’ rights to implement any program in whole or part to which Partner has consented or consents (via the partner portal or otherwise), and Partner’s consent to any such program shall not limit ClassPass’ rights to implement the ClassPass program described above regarding First Trial Reservations in whole or part or ClassPass’ rights hereunder.”
If Partner participates in campaigns or other features available through the partner dashboard, the effect on pricing and any other terms will be as described in your partner dashboard, the ClassPass Terms (which apply), and/or otherwise communicated to you.
